作为一种新型的金融衍生产品，可转换公司债券在我国金融市场的发展已经初具规模。首先，本文分析了可转换公司债券的定义、性质、发行状况、中国可转债市场的发展及其存在的问题。其次，结合中国加入WTO后金融市场的形势，分析了中国可转债市场存在的不足之处并提出了弥补措施。

As a new type of financial derivative security

the convertible bonds have had a rapid development in China's financial market. Firstly

this paper studies the definition

character and issue of the convertible bonds

then the development of China's convertible bonds market and its some shortcomings. Secondly

considering the situation of China's convertible bonds market after China enters into WTO

this paper also analyzes the faults of China's convertible bonds market and some suggestions are given to make up them.
